These terms and conditions of use (“Terms of Use”) govern your use of the online interfaces, including our applications, this website and its portals, our care coordination services, and any other electronic means, including email and texting (the “Online Services”) of Bridge Lane Global, LLC (“Bridge Lane Global”,” “BLG,” “we,” “our,” or “us”).  Bridge Lane Global respects and is committed to your privacy and has established the Privacy Policy, as discussed in Section 1. By using or accessing our Online Services or by transmitting information to us through the Online Services, you agree to these Terms of Use and our Privacy Policy, whether you possess or do not possess an account linked to your name and/or contact information (“Account”). Please read these Terms of Use and the Privacy Policy carefully.  By using any of the Online Services you acknowledge and agree that you have read, understand, and accept all terms and conditions in these Terms of Use and the Privacy Policy.  If you do not agree to be bound by these Terms of Use and the Privacy Policy, promptly exit this site.  Otherwise, your continued use of any Online Services indicates your agreement to and acceptance of these Terms of Use and the Privacy Policy. 

Each of the terms “information and services” and “information or services” means any and all information, materials, data, products, tools, content, and services available through our Online Services. The term “law” includes statutes, ordinances, enactments, rules, regulations, and similar promulgations and applicable determinations of courts and authorities. 

When you use certain Online Services, (such as a portal or bill pay application) we may provide you with additional terms of use relating to the specific service being provided, which will supplement these Terms of Use.  In the event of any inconsistency between these Terms of Use and any terms of use specific to any Online Service, the Online Service terms of use shall govern with respect to your access to and use of that Online Service.

Your rights will be determined by a neutral arbitrator, not by a judge or jury, and your claims cannot be brought as a class action. 1. Privacy Statement and Notice of Privacy Practices

Our Privacy Policy describes how Bridge Lane Global collects information about you through our Online Services, and how we use, disclose, and protect that information. 2. Services Provided – No Laboratory of Medical Services

Bridge Lane Global offers an online platform to coordinate access to healthcare related services, including healthcare, medical, and genetic testing services. The Online Services (including any clinical or other information or services) are offered by Bridge Lane Global for informational and educational purposes only and are intended for the use of health care professionals and for general educational purposes.  Health care providers should exercise their own clinical and professional judgment when using the information or services referenced in the Online Services.

If you are a patient or health care consumer, you should always seek the advice of your health care provider concerning any medical, health-related, and/or genetic questions you have.  You should not use information and services found on our Online Services to replace or substitute for a relationship with your health care provider familiar with your medical history and should not rely on that information and services as professional medical advice.  The information and services are not intended to be or to be used for medical, nursing, or health care diagnosis or treatment and shall not be construed as the provision or practice of medical, nursing, or health care diagnosis, advice, services, or treatment. You should not consider the information and services to be complete or to be a substitute for a call, visit, consultation, or advice from your physician or other health care providers familiar with your medical history. If you have specific health-related questions, if you have a health problem, or if you think you may have a health problem, please contact your physician or other health care provider.  

You acknowledge and agree that we have not represented that any information or services provided through the Online Services has the capability of diagnosing a medical condition, prescribing treatment, or performing any other task that constitutes the practice of medicine.

While Bridge Lane Global attempts to keep all information on the Online Services current, medical and genetic treatment and knowledge change rapidly.  Therefore, some information and services may be out of date and/or contain inaccuracies.  Our Online Services should not be considered a comprehensive source of or resource for all information regarding a particular topic.  Bridge Lane Global makes no representations, warranties, or guarantees as to the accuracy of the content on our Online Services, including the information and services, and assumes no responsibility for any consequences relating directly or indirectly to any action or inaction taken by you based upon the information and services on our Online Services.

Bridge Lane Global does not provide healthcare advice, diagnosis, treatment, care, or laboratory services.  Healthcare services and laboratory services are provided by a network of physicians and healthcare providers and laboratories with whom Bridge Lane Global has contractual relationships.  Healthcare providers and laboratories are responsible for the quality and appropriateness of the care and services rendered to you.  Healthcare providers and laboratories use the Online Services as a means of coordinating access for you.  Any advice, diagnosis, treatment, care, or information or services received from a healthcare provider or laboratory comes from them alone, and not from Bridge Lane Global. Your interactions with the healthcare providers and laboratories at any in-person examination (including electronically) are not intended to take the place of your relationship with any other of your health care practitioners or primary care physician. Bridge Lane Global is not and shall not be liable for any professional advice, diagnosis, treatment, care, or information or services obtained from a healthcare provider or laboratory, and your reliance on such providers and laboratories is at your own risk.  Bridge Lane Global makes no representation or warranty of any type regarding the training or skill of any healthcare provider or laboratory. Information and services provided by Bridge Lane Global are intended to be for general information purposes only, and none is in any way intended to create a provider-patient relationship as defined by state or federal law.

Your use of our Online Services is subject to the additional disclaimers and caveats that may appear throughout these Terms of Use.  You assume the entire risk of loss in using our Online Services and the information and services available through our Online Services.

Bridge Lane Global reserves the right to change features and specifications of the information and services at its sole discretion at any time and without notice.

Any and all third party information or services contained within the Online Services is provided solely as a resource and we do not endorse any information or services other than those clearly marked as being from Bridge Lane Global.

3. Copyright, Trademarks, and other Intellectual Property

Copyright, trademark, service mark, patent, and other applicable laws protect the information and services available through the Online Services.  All trademarks, service marks, logos, and intellectual property (“Trademarks”) displayed and used in the Online Services are the property of their respective owners. Nothing in the Online Services should be construed as granting any right or license to use any Trademark without the written permission of its owner.  Bridge Lane Global information and services available through the Online Services may be accessed, downloaded, or printed for the noncommercial purpose of scientific or educational advancement within the scope allowable by these Terms of Use, but subject to any copyright, trademark, service mark, patent or other intellectual property restrictions and applicable laws and ownership rights. Unless expressly stated, no information or services on the Online Services is in the public domain.  The Online Services may contain other proprietary notices and copyright, service mark, logo, intellectual property right, or similar information, the terms of which must be observed and followed.

The Online Services are owned by Bridge Lane Global.  None of the names, trademarks, service marks, logos, or other intellectual property of Bridge Lane Global may be used in any advertising or publicity, or otherwise to indicate Bridge Lane Global’s sponsorship of or affiliation with any information or service, without express prior written permission from Bridge Lane Global. 

4. Right to Change Terms of Use

Bridge Lane Global, in its sole and absolute discretion, may at any time or from time to time change these Terms of Use in whole or in part.  Any such change shall be effective immediately.  You agree to review these Terms of Use and the Privacy Policy each time you access any Online Service to ensure you are aware of any changes. Your continued access or use of an Online Service after a change has become effective shall be deemed your conclusive acceptance of the modified Terms of Use and you agree to comply with, and be bound by, the modified Terms of Use. 

5. Your Provision of Information

When you provide information about yourself to us, including when you create an Account, you agree to: (a) provide accurate, current, and complete information about yourself and/or your relevant entity or facility, and not to provide information that attempts to impersonate another individual, entity, or facility; and (b) maintain and promptly update such information to keep it accurate, current, and complete. If you provide any information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we retain the right to suspend or terminate any Account you establish and/or refuse any or all current or future use of the Online Services or any portion thereof.

6. Use of Online Services by Health Care Providers and Health Plans

The Prescriber Portal, if any, is for use by health care providers only.  Patients and health care consumers are restricted from accessing the Prescriber Portal. 

Each health care provider represents and warrants that when using the Prescriber Portal you will comply with all applicable laws, including the Health Insurance Portability and Accountability Act (HIPAA), and other applicable federal and state privacy and data security laws, and you will not provide any information, including protected health information, for which you do not have all required authorizations and consents.

The Prescriber Portal requires you, as a health care provider, to register and obtain a password prior to accessing the portal. You acknowledge and agree that you are responsible for maintaining the confidentiality of your login identification and password.  You agree to notify us immediately of any unauthorized use of your login identification, password, or account.  You acknowledge that you may be held liable for any loss or harm incurred by us or any other person or entity due to unauthorized access of your account as a result of your failing to keep your account information secure and confidential.

7. User-Provided Content

You understand that all information and services that you and other users of the Online Services upload, post, transmit, publish, display, or otherwise make available (“Publish”) through the Online Services, including information you share with or make available to other users of the Online Services ("User-Provided Content"), are the sole responsibility of you or the person from whom such User-Provided Content originated.  This means that you, and not us, are responsible for all User-Provided Content that you Publish through the Online Services.  We do not control the User-Provided Content posted and, as such, do not guarantee or make any representation or warranty regarding the accuracy, integrity, or quality of any User-Provided Content.  Furthermore, the User-Provided Content is for informational purposes only and is not intended to be a substitute for professional medical advice, diagnosis, treatment, or care.  You understand that by using the Online Services, you may be exposed to User-Provided Content that is offensive, indecent, or objectionable.  Under no circumstances will Bridge Lane Global be liable in any way for or with respect to any User-Provided Content, including, but not limited to, for any errors or omissions in any User-Provided Content, or for any loss or damage of any kind incurred as a result of Publishing, use of, or reliance on, any User-Provided Content Published through the Online Services.

By Publishing User-Provided Content through the Online Services, you represent and warrant that:

  • you own or control all rights, title, and interests to such User-Provided Content;
  • all "moral rights" that you may have in such User-Provided Content have been voluntarily waived by you;
  • you have the right to grant the licenses granted under these Terms of Use;
  • all User-Provided Content that you Publish: (i) is accurate; (ii) does not violate these Terms of Use; (iii) will not conflict with, result in a breach or violation of any terms or provisions of, or constitute a default under any contract or agreement to which you are currently bound or will become bound in the future; (iv) does not and will not violate any law, and (v) will not cause injury to any person or entity; and
  • you are at least 18 years old.

8. Usage

You agree not to use the Online Services for any purpose that is unlawful or prohibited by these Terms of Use.  You represent and warrant that you are not a person barred from receiving information or services contemplated by the Online Services under the laws of the United States or any State thereof or the laws of any other applicable jurisdiction in which you may be located or to which you may be subject.  We reserve the right to deny access to all or any part of the Online Services at our sole discretion. You are personally responsible for the information and services that you Publish or send through or forward from the Online Services.

In addition, you agree that you will not:

  • Publish any User-Provided Content that is known by you to be false, inaccurate, or misleading;
  • Publish any User-Provided Content that violates any law (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising);
  • Publish any User-Provided Content that is, or may reasonably be considered to be, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable, or that harms minors in any way;
  • forge headers or otherwise manipulate identifiers in order to disguise the origin of any User-Provided Content transmitted in connection with the Online Services;
  • Publish any User-Provided Content that you do not have a right to Publish under any law or under contractual or fiduciary relationships (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • Publish any User-Provided Content that infringes any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;
  • Publish any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
  • Publish any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, modify, or limit the functionality of any computer software or hardware or telecommunications equipment or the Online Services;
  • contact other user of the Online Services through unsolicited e-mail, telephone calls, text messages, mailings, or any other method of communication;
  • take any action that interferes with the proper working of the Online Services, compromises the security of the Online Services, or otherwise damages the Online Services or any information or services available through the Online Services
  • attempt to gain unauthorized access to any portion or feature of the Online Services, to any other systems or networks connected to the Online Services, to any of our servers, or to any of the services offered on or through the Online Services, including, but not limited to, by hacking, password “mining”, or any other unauthorized means;
  • probe, scan, or test the vulnerability of the Online Services or any network connected to the Online Services or bypass the authentication measures on the Online Services or any network connected to the Online Services;
  • use any automated means to collect information or content from or otherwise access the Online Services, including, but not limited to, through the use of technical tools known as robots, spiders, or scrapers, without our prior written permission;
  • harvest or otherwise collect and store information about other users of the Online Services, including e-mail addresses;
  • install any software, file, or code that is not authorized by the user of a computer or mobile device or that assumes control of all or any part of the processing performed by a computer or mobile device without the authorization of the user of the computer or mobile device; or
  • interfere with or disrupt the operation of the Online Services or server networks connected to the Online Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Online Services.

9. Your Grant of License to Bride Lane Global for User-Provided Content

By Publishing User-Provided Content, you grant Bridge Lane Global a worldwide, perpetual, non-exclusive, royalty-free license (with the right to sub-license) to use, reproduce, display, perform, adapt, modify, publish, create derivative works from, or distribute or transfer such User-Provided Content in whole or in part in any form, medium, or technology (now known or later developed) without compensation to you, including, but not limited to, in any unaffiliated third party content and in our or their publications, marketing material, and advertisements.  We may modify or adapt User-Provided Content, including, without limitation, in order to Publish, transmit, display, or distribute it over networks and to conform to the requirements of networks, services, or other media.  We or others may, in our sole discretion, cite to your name or other identifier you provided when posting User-Provided Content.  You represent and warrant that our Publication, transmission, delay, distribution, or transfer of your User-Provided Content will not infringe or violate the intellectual property or other rights of any third party.

This Section 9 does not apply to any protected health information that you Publish through the Online Services.

10. Bridge Lane Global’s Discretion to Use User-Provided Content

User-Provided Content that you Publish through the Online Services may be used by Bridge Lane Global in accordance with our Privacy Statement and, with respect to protected health information, our Privacy Policy: [insert link to Privacy Policy].  Bridge Lane Global reserves the right to change, condense, delete, or refuse to post any User-Provided Content on the Online Services in its sole discretion.  None of the User-Provided Content that you submit shall be subject to any obligation of confidence on the part of Bridge Lane Global, its agents, representatives, directors, officers, employees, members, partners, joint venturers, or third-party service providers (including laboratories) and their respective members, shareholders, partners, directors, officers, and employees.

11. Operation of Online Services

Bridge Lane Global reserves the right to do any of the following at any time, at its sole and absolute discretion, with or without notice: (i) modify, suspend, or terminate operation of your access to the Online Services or any portion of the Online Services, including, but not limited to, for your violation of these Terms of Use; (ii) modify or change the Online Services or any portion of the Online Services; and (iii) interrupt the regular operation of the Online Services or any portion of the Online Services as necessary to perform maintenance, to correct errors, or to make other changes to our Online Services.

12. Third Party-Owned Content and Links to Third Party Owned-Websites or Online Applications

The Online Services may contain third party-owned content (e.g., articles, data feeds, abstracts, etc.) and may also include hypertext links to third party-owned websites and online applications.  We provide such third party-owned content and links as a courtesy to our users.  We have no control over any third party-owned websites, online applications, or third-party owned content referenced on, linked to from, accessed by, or available on the Online Services and, therefore, we do not endorse, sponsor, recommend, or otherwise accept any responsibility for such third party-owned websites, online applications, or content (or the availability of any of the foregoing).  In particular, we do not accept any responsibility for or liability arising out of relating to any allegation that any third-party owned content (whether published on the Online Services, or any other website or online application) infringes the intellectual property rights of any person or entity or any liability arising out of any information or opinion contained in such third-party owned content or on any third party-owned website or online application linked to from the Online Services.

You acknowledge and agree that we are not responsible or liable for the accuracy, collection, use, disclosure, or protection of information, copyright compliance, legality, decency, or any other aspect of third party-owned websites, online applications, or third-party content that are linked to from the Online Services or the content displayed on or through them.  If you visit third party-owned websites or online applications by clicking links on the Online Services, we encourage you to consult the privacy policy and the Terms of Use of each such website or online application you visit.

13. Links to the Online Services

You should not link to the Online Services, nor use Bridge Lane Global’s name, trademark, or logos, or otherwise refer to Bridge Lane Global in any public communications without first obtaining the advance written consent of Bridge Lane Global. Requests to link to the Online Services or use Bridge Lane Global’s name should be directed to [info@bridgelaneglobal.com]. 

14. Advertising and Sponsorships

We do not accept paid advertisements or sponsorships on the Online Services.

15. Information, News, and Press Releases

The Online Services may contain information about Bridge Lane Global, such as news and press releases. You acknowledge that we have no duty or obligation to maintain the accuracy of, or update any such information, and agree that your reliance on any such information is at your own risk.

16. Registration and Passwords

The Online Services may permit or require you to register or obtain a password prior to permitting you to access certain portions of the Online Services.  You acknowledge and agree that you are responsible for maintaining the confidentiality of your login identification and password, and for all uses of your login identification, password, and/or Account.  You agree to notify us immediately of any unauthorized use of your login identification, password, or Account, or any other breach of security involving access to the Online Services through your Account. You acknowledge that you may be held liable for any loss or harm incurred by us or any other person or entity due to someone else using your login identification, password, or Account as a result of your failing to keep your Account information secure and confidential.

17. Disclaimer of Warranty; Limitation of Liability

The Online Services and all information and services included in or available through the Online Services are provided “as is” and “as available”.  Bridge Lane Global Labs does not represent, warranty, or guarantee that the Online Services will be available, accessible, uninterrupted, timely, secure, accurate, complete, or error-free or virus free.  

Your use of the website and Online Services is at your own risk.

Bridge Lane Global and its suppliers and associated laboratories disclaim all express and implied warranties with regard to the Online Services and all information and services included in or available through the Online Services, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

None of Bridge Lane Global, its associated laboratories ,or its suppliers, or anyone else involved in creating, producing, or delivering the Online Services or the information and services included in or available through the Online Services represents or warrants: that any of the information or services included in or available through the Online Services is accurate, reliable, complete, useful, or current; that the Online Services will be available at any particular time or location; that any defects or errors will be corrected; or that the Online Services are free of viruses or other harmful components.  Please note that some jurisdictions may not allow the exclusion of implied warranties; thus, some of the foregoing exclusions may not apply to you.  Please check your local laws for any restrictions or limitations regarding the exclusion of implied warranties. 

Under no circumstances shall Bridge Lane Global, its suppliers, its associated laboratories, or anyone else involved in creating, producing, or delivering the Online Services or any of the information or services included in or available through the Online Services be liable for any direct, indirect, punitive, incidental, special, or consequential damages of any kind or nature, including, but not limited to, loss of data, arising out of or in any way connected with the use of, or the inability to use, the Online Services.  This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or other legal theory, even if we have been advised of the possibility of such damages.  In the event that some jurisdictions do not allow for the exclusion or limitation of damages to the extent indicated above, our liability in such jurisdictions shall be limited to the maximum extent permitted by law.

You understand and agree that use of the Online Services and any information or services accessed, downloaded or otherwise obtained or used through the use of the Online Services is done at your own discretion and risk and that the user will be solely responsible for any damage to its computer system, loss of service, or loss of data that results from the access, download, obtaining or use of such information and services.  

You acknowledge and agree that the limitations set forth in this Section 19 are fundamental elements of this Agreement and the Online Services would not be provided to you absent such limitations and your agreement to such limitations.

20. Indemnification

You agree to indemnify, defend, and hold harmless Bridge Lane Global, its affiliates, directors, officers, shareholders, agents, representatives, suppliers, associated laboratories, contractors, employees, and insurers, and their respective affiliates and subsidiaries, from any liability, loss, claim, suit, damage, judgement, award, investigation, and/or expense (including reasonable attorneys’ fees and expenses) that arise out of or are related to (a) your use of the Online Services; (b) your violation of these Terms of Use; (c) your breach or alleged breach of any representation, warranty, guarantee, or other obligation or undertaking; (d) any false or misleading information or services provided by you or on your behalf; (e) your violation or alleged violation of any law, whether federal, state, international, local, or other; (f) your infringement of any intellectual property or other legal or contractual right of any person or entity (including of third parties’ worldwide intellectual property rights); (g) your provision of any information or services through or in connection with the Online Services; (h) your negligent or wrongful conduct; or (i) your advertising, marketing, promotion, sale, or distribution of any information or services.

21. COVID-19 and SARS-CoV-2 Testing

You understand and agree that: By completing the questions asked on the Online Services and having a COVID-19 or SARS-CoV-2 test kit ordered you understand and consent to having Bridge Lane Global personnel or contracted individuals observe the collection of your test and direct processing of your sample and generation of testing results by a laboratory with whom Bridge Lane Global has a contractual relationship.  Each such laboratory is independent of Bridge Lane Global and is solely responsible for processing your test kit.  The relevant laboratory will send provide your testing results to you and, if permitted under applicable law, to Bridge Lane Global.  No representations, warranties, or guarantees have been made to you regarding the results of your COVID-19 or SARS-CoV-2 test. The information you provide on the Online Services and any information you provide during your sample collection is truthful and complete to the best of your knowledge.  In the event you provide a third party with your results from a COVID-19 or SARS-CoV-2 test for any reason, Bridge Lane Global is not responsible for any actions such third party may or may not take as a result of you providing your test result to such third party. Further, you understand and acknowledge that Bridge Lane Global cannot accept returns of any COVID-19 or SARS-CoV-2 test kits, and that all sales of such test kits are final.  You have read, understand, and agree to all of the above terms of this Section and you agree to the payment terms.

22. Severability

If any provision of these Terms of Use is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of the Terms of Use shall remain in full force and effect.  Any provision of the Terms of Use held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable.  The parties further agree to replace such invalid or unenforceable provision of these Terms of Use with a valid and enforceable provision that will achieve, to the extent possible, the economic, business, and other purposes of such invalid or unenforceable provision.

23. Governing Law and Jurisdiction

We will try work in good faith to resolve any issue you have with the Terms of Use and the Privacy Policy and related matters if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer's satisfaction.

You and Bridge Lane Global agree any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use, the Privacy Policy, or the use of the Online Services shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration is more informal than bringing an action or suit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court, however, we agree to cooperate with each other to agree to reasonable discovery in light of the issues involved and amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including, but not limited to, the applicable law on punitive damages. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Bridge Lane Global are each irrevocably waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms of Use and any other contractual relationship between you and Bridge Lane Global.

If you desire to assert a claim against Bridge Lane Global, and you therefore elect to seek arbitration, you must first send by certified mail, a written notice of your claim ("Notice"). The Notice should be addressed to: Bridge Lane Global, LLC, Attention: Legal Department, P. O. Box 22345, Lehigh Valley, Pennsylvania 18002-2345 (the "Notice Address"). If Bridge Lane Global desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our or the practices records for you. A Notice, whether sent by you or by Bridge Lane Global must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). If you and Bridge Lane Global do not reach an agreement to resolve the claim within thirty (30) days after the Notice is received, you or Bridge Lane Global may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by Bridge Lane Global or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration from the American Arbitration Association at www.adr.org.

The arbitration will be governed by the commercial arbitration rules and any supplementary rules and procedures for consumer related disputes (collectively, "JAMS Rules") of Judicial Arbtitration & Mediation Services, Inc. ("JAMS"), as modified by these Terms of Use (including the Privacy Policy), and will be administered by JAMS. The JAMS Rules and Forms are available online at www.jamsadr.com, by emailing JAMS at https://www.jamsadr.com/contact , or by requesting them from us by writing to us at the Notice Address. The arbitrator is bound by the terms of these Terms of Use. All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope and enforceability of these Terms of Use, including, but not limited to, this arbitration agreement. Unless you and Bridge Lane Global agree otherwise, any arbitration hearings will take place in Bethlehem, Pennsylvania. (If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you, but will remain subject to the JAMS Rules including but not limited to the JAMS rules regarding the selection of an arbitrator). If your claim is for US $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the JAMS Rules. If your claim exceeds US $10,000, the right to a hearing will be determined by the JAMS Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of Bridge Lane Global’s last written settlement offer made before an arbitrator was selected (or if Bridge Lane Global did not make a settlement offer before an arbitrator was selected), then Bridge Lane Global will pay you the amount of the award or US $1,000, whichever is greater. The arbitrator shall not award punitive damages, except as prohibited by law. Except as expressly set forth herein, the payment of all filing, administration, and arbitrator fees will be governed by the JAMS Rules. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for payment or recovery attorneys’ fees, the arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.

You and Bridge Lane Global agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.  Further, unless both you and Bridge Lane Global agree otherwise, the arbitrator may not consolidate any other person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

If the arbitration terms and conditions of this Section 23 are found to be unenforceable, then (i) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms of Use shall remain in full force and effect, and (ii) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for Philadelphia, Pennsylvania.

These Terms of Use and the Privacy Policy, the agreement formed pursuant to these Terms of Use, and the resolution of any dispute related to these Terms of Use shall be governed by and construed in all respects in accordance with the laws of the Commonwealth of Pennsylvania, exclusive of its choice of law or conflict of law provisions.  You and we agree to the foregoing whether the Online Services are accessed in the United States of America and another country.

Bridge Lane Global makes no representation that information and services, including in respect of the Online Services, is appropriate for use in other locations, and accessing this information and services from territories where the content is illegal, prohibited or restricted.  Those who choose to access the information or services, including the Online Services, from other locations do so by their own initiative and are responsible for compliance with all applicable laws, including all local laws.

24. Force Majeure

We will not be deemed to be in breach of the Terms of Use or liable for any breach of thee Terms of Use or the Privacy Policy due to any event or occurrence beyond our reasonable control, including, but not limited to, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire, pandemic, epidemic, transportation delays or disruptions, or other even or circumstance beyond our reasonable control.

25. Entire Agreement

These Terms of Use constitute the entire agreement between the parties pertaining to its subject matter. It may not be modified except as described elsewhere in these Terms of Use. Anything in the website inconsistent with or conflicting with these Terms of Use is superseded by these Terms of Use.

25. Termination

These Terms of Use are effective unless and until modified as noted above, or terminated, at any time by Bridge Lane Global.

26. No Third Party Rights

Unless expressly stated in the Terms of Use to the contrary, nothing herein is intended to confer any rights or remedies on any persons other than you, Bridge Lane Global, and their affiliates. Nothing in the Terms of Use is intended to relieve or discharge the obligation or liability of any third persons to you, Bridge Lane Global, or the respective affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, Bridge Lane Global, or the respective affiliates.

27. Assignment

You may not assign, transfer, or delegate the Terms of Use or any part thereof without the prior written consent of Bridge Lane Global in its sole and absolute discretion.  Bridge Lane Global may freely transfer, assign, or delegate all or any part of the Terms of Use, and any rights or duties hereunder or thereunder. The Terms of Use will be binding upon and inure to the benefit of the heirs, successors, and permitted assignees of the parties.
